1. Introduction and acceptance

Resyna is a product of VizyPlan, licensed by VizyPlan (“VizyPlan,” “we,” “us”). These Terms of Use (“Terms”) govern your use of the Resyna mobile application and the resyna.ai website (together, the “Service”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.

2. Description of the Service

Resyna plays gentle, layered sound designed to support relaxation. In its adaptive sessions, the sound responds to your heart rhythm (read from an Apple Watch or an optional Bluetooth heart-rate sensor) and gradually guides your breathing toward a slower, steadier pace. Resyna also offers fixed Calm and Focus tracks that require no wearable device, and Resyna Touch, a sensory visual toy. Resyna’s adaptive method is the subject of a pending patent application.

3. No medical advice or therapeutic claims

Resyna is not a medical device. It does not diagnose, treat, cure, or prevent any disease or condition, and it does not provide medical advice. Resyna is a general wellness product intended to support relaxation. It is not a substitute for professional medical, psychological, or therapeutic care, and it is not intended for use in any emergency.

Any numbers shown during a session (such as calm, coherence, breath rate, or heart rate) are informational reflections of the session experience. They are not medical measurements, are not clinically validated, and must not be relied on for any health decision. If you have a health concern, contact a qualified professional. If you are experiencing an emergency, call your local emergency number.

We make no claim that Resyna alters brain activity, produces any particular mental state, or delivers any specific health outcome.

4. Safe listening

Please use Resyna sensibly:

• Best with headphones, if able to wear them without sensory discomfort
• Start slow: try 2-5 minutes at first, then build up gradually as it feels comfortable
• If you feel any discomfort, dizziness, or unease, stop listening right away
• Do not operate heavy machinery after listening
• Not a medical device and not medical advice; it does not diagnose, treat, or cure any condition. If you are pregnant or have epilepsy or a heart condition, check with your doctor first

Do not use Resyna while driving or operating machinery, or in any situation where reduced alertness could be unsafe. Discontinue use and consult a professional if you experience discomfort.

5. Eligibility and accounts

Age requirement

You must be at least 16 years old to create an account and use the Service. Resyna is intended for adults and is not directed to children.

Account creation

Resyna uses passwordless sign-in: we email a one-time code to the address you provide. You are responsible for maintaining access to that email account and for all activity that occurs under your account. Tell us promptly if you believe your account has been accessed without your permission.

Account termination and deletion

You may delete your account at any time in the app under Settings → Delete account, or by emailing us. Deletion is permanent. We may suspend or terminate an account that violates these Terms, that we reasonably believe is being used unlawfully, or where required by law.

6. Licence and restrictions

Limited licence

Subject to these Terms, VizyPlan grants you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service for your own non-commercial purposes.

Prohibited uses

You agree not to:

• copy, distribute, sell, rent, sublicense, or publicly perform the Service or its audio;
• reverse engineer, decompile, disassemble, or attempt to derive the source code, tone-generation method, or underlying algorithms;
• remove or obscure any proprietary notice;
• use the Service to develop a competing product, or to train a machine-learning model;
• interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service or its infrastructure;
• use the Service unlawfully, or in any clinical or diagnostic capacity.

7. Third-party services

The Service relies on third-party providers, each governed by its own terms:

• Supabase — database, authentication, and transactional email.
• Vercel — hosting for resyna.ai.
• Apple — App Store distribution, and HealthKit if you enable it.
• Anthropic and ElevenLabs — power the replies and voice of the website chat assistant.

We are not responsible for the availability, accuracy, or practices of third-party services, and their inclusion is not an endorsement.

8. Intellectual property

The Service — including its audio, adaptive tone-generation method (patent pending), software, visual design, sphere and smoke visualisations, trademarks, and content — is owned by VizyPlan and protected by intellectual property laws. Resyna is a product of VizyPlan, licensed by VizyPlan. Except for the limited licence in Section 6, no rights are granted to you.

Feedback

If you send us suggestions or feedback, you grant VizyPlan a perpetual, irrevocable, worldwide, royalty-free licence to use it without obligation or compensation to you.

9. Fees

Resyna is currently offered free of charge. If we introduce paid features in the future, pricing, billing, renewal, and cancellation terms will be presented to you before any purchase, and purchases made through the App Store will be processed by Apple under Apple’s terms. We may change or discontinue features at any time.

10. Privacy

Our handling of personal information — including heart-rate and HealthKit data — is described in our Privacy Policy, which forms part of these Terms. HealthKit data is used only to adapt your session audio and is never used for advertising or sold.

11. Disclaimers and availability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will produce any particular result.

Data loss

We take reasonable measures to protect your data but do not guarantee against loss. You are responsible for keeping your own records of anything important to you.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIZYPLAN AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot lawfully be limited.

13. Indemnification

You agree to indemnify and hold harmless VizyPlan from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another.

14. Dispute resolution and arbitration

Informal resolution first

If you have a concern, please email support@vizyplan.com first. We will try in good faith to resolve it informally within 30 days.

Binding arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in Delaware, and judgment on the award may be entered in any court of competent jurisdiction. Either party may bring an individual claim in small-claims court instead.

Class action waiver

YOU AND VIZYPLAN AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.

15. Governing law and jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms (other than arbitration) shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

16. Apple App Store terms

The following applies to the Resyna iOS app obtained through the Apple App Store:

• These Terms are between you and VizyPlan only, not with Apple. Apple is not responsible for the app or its content.
• Apple has no obligation to furnish any maintenance or support for the app.
• If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.
• Apple is not responsible for addressing any claims relating to the app, including product liability, legal or regulatory non-compliance, or consumer protection claims.
• Apple is not responsible for investigating, defending, settling, or discharging any third-party claim that the app infringes intellectual property rights.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist supporting,” and that you are not on any U.S. Government prohibited-party list.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

17. Modifications to these Terms

We may modify these Terms. If we make material changes, we will update the date above and, where appropriate, notify you in the app or by email. Continued use of the Service after changes take effect constitutes acceptance.

18. Severability, waiver, and assignment

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.

19. Entire agreement

These Terms and the Privacy Policy constitute the entire agreement between you and VizyPlan regarding the Service, superseding any prior agreements on that subject.
